Terms and Conditions
Sales terms and conditions.
All orders imply the integral acceptance of the General Sales Terms and Conditions.
1. Prices.
The prices are understood to be ex stock and exclusive of VAT. The quotations in the price lists are not binding. JANNONE FERRO TUBI S.p.A. reserves the right to vary the sales tariffs at any time without advance notice.
2. Delivery and returns.
Goods are returned ex store reseller and travels at the risk of the buyer. In the event that the sale price includes transport fees to destination, the transfer carried out by us is to be considered on behalf of the buyer and therefore at his risk. JANNONE FERRO TUBI S.p.A. reserves the right to ship orders with split delivery.
3. Transport and shipment.
Shipments are carried out by the supplier on behalf of the buyer. The quantity must be verified upon receipt. Any claims must be directed at the delivering party. JANNONE FERRO TUBI S.p.A. reserves the right to charge the buyer with any additional transport fees required by the carrier.
4. Delivery terms.
Any indication relative to the delivery term must be considered approximate and is not binding. Any delays can therefore not be cause for claims for damage nor for resolution of the contract
5. Payments.
Payments must be made only in favour of JANNONE FERRO TUBI S.p.A. Any delay in payment implies charging of interest at the current rate. The disputes of any value or entity do not give the buyer the right to suspend payments. JANNONE FERRO TUBI S.p.A. reserves the right to suspend any orders in progress should the buyer not be regular with payments. Moreover, failure to pay or late payment of the invoices gives our company the right, in addition to any other action, to lay claim to advance payment of the remaining supplies or to deep the contract in progress resolved or suspended without giving the buyer the right to relative claims or reimbursement.
6. Claims.
No claims or return of goods will be accepted after eight days from receipt of the goods at destination. The claims must arrive via registered letter within the terms indicated. Any return of goods must be previously authorised by JANNONE FERRO TUBI S.p.A. In any case returned material will not be replaced or credited without the express authorisation of JANNONE FERRO TUBI S.p.A. The buyer will have no right to request resolution of the contract or reduction of the price and, in any case, reimbursement for damages and expenses. The buyer forfeits any right to claims and therefore replacement of the goods where he does not immediately suspend processing of the materials relative to the claim. Claims do not give the buyer the right to suspend invoice payments.
7. Order errors.
Ordered material may be replaced, after verification of the good condition and integrity of the package, within 8 days of delivery with a reduction in the price of 20% of the value of the goods besides any further costs such as transport or other expenses.The return procedure must follow the indication of point 6.
8. Technical characteristics.
JANNONE FERRO TUBI S.p.A. reserves the right to modify the technical characteristics of the products or delete them from the ranged handled without advance notice.
9. Warranty.
JANNONE FERRO TUBI S.p.A. guarantees proper operation of its equipment with the exception of the parts manufactured by other companies.The warranty is comprised solely of the replacement or repair of the parts which JANNONE FERRO TUBI S.p.A. deems defective. JANNONE FERRO TUBI S.p.A. will in any case not pay any indemnity or claims for damages which may by suffered by the buyer or by third parties due to defects encountered.
10. Reserved domain.
The products remain the property of JANNONE FERRO TUBI S.p.A. until full payment of the price in accordance with the provisions of the Italian Civil Code.
11. Responsibility.
JANNONE FERRO TUBI S.p.A. does not provide any guarantee regarding the incorrect or unsuitable use of its products. Should the material be found defective due to factory defects recognised after technical assessments, JANNONE FERRO TUBI S.p.A. reserves the right to replace it or credit the value without extending in any case its responsibility for direct or indirect burdens which may stem from removal and replacement of the defective material.
12. Jurisdiction.
Milan will be the jurisdiction for any controversy whatsoever, even if the sale was made elsewhere.
13. Interest.
Se Community Directive No. 35.2000-Legisl. Decr. 09/10/2002 No. 231 published in Official Gazette No. 249 of 23/10/2002-Circ. No. 1 of 14/01/2003. Failure to pay at the set deadline (indicated on the invoice) automatically implies the obligation of the debtor to pay, in addition to the amount due, interest on arrears as well as any credit recovery expenses.The maturing of interest begins from the day after the established payment deadline without the need for the creditor to provide for the placing in default of the debtor. The automatic start of the interest on arrears for delayed payments is determined: interest rate established by the Central European Bank increased by 7 percentage points – the C.E.B. percentage rate is released via publication in the Official Gazette and is subject to review every six months.
